The website
cernia.ai is published by Cernia LLC, a Wyoming limited liability company ("Cernia"). The site describes the service and shows examples. The example report and every figure on this site are simulated and labelled as such; they illustrate the form of Cernia's work, not a result for any named business. Results described in general terms are prior engagements of the operator and are not a promise of a result for you.
You may read, link to and quote the site for any lawful purpose with attribution. You may not scrape it to build a competing product, misrepresent it as your own, or use it to send unsolicited messages to Cernia's addresses.
The service
Cernia is a marketing intelligence service: it reads the advertising, analytics, attribution and related platforms a client connects, produces analysis, reports, drafts and plans, and, when enabled, applies approved plans to those platforms. It works alongside the client's team; the client decides what goes live. The scope, fees, start date and any service levels for a given client are set in that client's service agreement, which incorporates these terms.
Approvals and your platforms
Cernia changes a client's platforms only through a written plan that a person holding the approver role in the client's organization has approved by its ID. The client is responsible for who holds that role. An approved plan is the client's instruction; Cernia applies it as written, reads the result back, and keeps a rollback plan. Cernia does not delete objects on any platform and does not change budgets, bids, bid strategies, targeting, audiences or listing groups on existing objects until the client enables that class of change.
The client remains the account holder on every platform, remains bound by each platform's own terms, and is responsible for the lawfulness of its advertising, its products and its claims. Cernia may decline to draft or apply a change that it believes breaks a platform's rules or the law.
Your access and your data
The client grants Cernia access to its platforms under the client's own credentials or through the platform's sign-in, and may revoke it at any time. The client's data stays the client's. Cernia uses it only to provide the service, keeps only what the security page declares, and handles it as the privacy policy says. On the end of an engagement the client may receive its audit log, plans and report figures, after which Cernia removes them.
The client is responsible for the people it invites to its workspace, for keeping its sign-in secure, and for telling Cernia promptly if it suspects unauthorized access.
Intellectual property
Cernia's software, procedures, verifiers, report formats, the Cernia name and marks, and this site are Cernia's property and stay so. Reports, drafts, ad copy, plans and analysis produced for a client are the client's to use for its own business once paid for. Cernia keeps the right to reuse the methods, know-how and anonymized learnings that do not identify the client or disclose its confidential information.
Confidentiality
Each side keeps the other's non-public information confidential, uses it only for the engagement, and shares it only with people and providers who need it and are bound to the same standard. This survives the end of the engagement. Cernia does not name a client publicly, and does not describe a client's results in a way that identifies it, without written permission.
No warranties
Cernia will perform the service with reasonable skill and care, and every number it reports will show its source, its window and the checks it passed. Beyond that, the site and the service are provided as they are. Cernia does not promise a particular sales, revenue or cost outcome: markets, platforms, products and competitors change, and the client decides what goes live. Platform data is read as the platforms report it, and platforms restate history; Cernia marks restatements but cannot prevent them.
Limitation of liability
To the extent the law allows, neither side is liable to the other for indirect, consequential, special or punitive damages, or for lost profits or revenue, arising from the site or the service. Cernia's total liability for any claim arising from an engagement is limited to the fees the client paid for the service in the twelve months before the claim arose. These limits do not apply to a breach of confidentiality, to misuse of the other side's intellectual property, or to anything that cannot be limited by law.
Term and ending
An engagement runs for the term in its service agreement. Either side may end it for a material breach that is not cured within thirty days of written notice, and as the agreement otherwise provides. On ending, access is revoked, the client's data is handled as described above, and fees for service already delivered remain due.
Governing law
These terms and any service agreement that incorporates them are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Any dispute that cannot be settled by the two sides talking is brought in the state or federal courts located in Wyoming, and each side consents to their jurisdiction. The site may be used from anywhere; you are responsible for compliance with your local law.
Changes
Cernia may revise these terms. The date at the top changes with them, and changes that affect a current client are notified in writing before they take effect for that client. Continued use of the site after a change is acceptance of it.
